MHNConnect Privacy Policy : Medical Home Network

Medical Home Network (“MHN”) operates the MHNConnect Portal (the “MHNConnect Portal” or “MHNConnect”) as a Business Associate on behalf of one or more Covered Entities and/or upstream Business Associates. “Portal Participants” are entities that have entered into a contractual agreement with MHN (“Portal Participation Agreement”) regarding the terms and conditions for using the MHNConnect Portal. Portal Participants may access and use, and may authorize appropriate individuals (“Authorized Users”) to access and use MHNConnect in accordance with their Portal Participation Agreement and the MHNConnect Policies and Procedures.

This Privacy Policy explains MHN’s practices with regard to the use, collection, maintenance, protection, and disclosure of information about Authorized Users by the MHNConnect Portal (https://www.mhnconnect2.com).

This policy applies to information that MHN and its affiliates collect from Authorized Users on this website. It does not apply to information collected by:

MHN offline or through any other means, including on any other website operated by MHN and its affiliates or by any third party; or
any third party, including through any application or content that may link to or be accessible through MHNConnect.

Please read this policy carefully to understand MHN’s policies and practices regarding your information and how we will treat it. If you do not agree with our policies and practices, you may elect not to use MHNConnect. By accessing or using MHNConnect, you agree to MHNConnect’s Privacy Policy. This policy may change from time to time (see Changes to Privacy Policy below). Authorized User Privacy

1. An Authorized User’s access to and use of the MHNConnect Portal may be monitored by:

MHN for purposes of operating the MHNConnect Portal and testing, performance assessment and evaluation in connection with MHN initiatives.
The authorizing Portal Participant in accordance with the Portal Participant’s policies and practices.

2. MHN is provided certain personal information about an Authorized User by the authorizing Portal Participant, including the Authorized User’s name. This may include information provided by an Authorized User, information about an Authorized User that does not specifically identify the Authorized User and information about the Authorized User’s internet connection, the equipment used to access MHNConnect and usage details, including date and time of access and any activity while on MHNConnect.

3. MHN may use and disclose this personal information as follows:

As necessary to operate the MHNConnect Portal, including to enforce compliance with the MHNConnect Policies and Procedures and to satisfy MHN’s contractual obligations.
To enforce or apply MHNConnect Terms of Use.
So that the Authorized User may access and use MHNConnect.
To fulfill the purpose for which the information was provided.
In response to requests from the authorizing Portal Participant.
In response to legal process (such as a subpoena or court order) or as otherwise required by law.
Upon MHN’s reasonable belief that the Authorized User is using or has used the MHNConnect Portal for an unlawful purpose or activity.
As necessary to protect the rights or property of MHN or any person or to protect individual or public health or safety.
With MHN subcontractors who are engaged by MHN to assist in operating the MHNConnect Portal and required to keep the information disclosed confidential.
To our subsidiaries and affiliates.
For business purposes including but not limited to developing and implementing new products and services, enhancing the functionality of MHNConnect, data analysis and audits.
To plan or implement risk control measures, like fraud and abuse detection and prevention.
For our business purposes including but not limited to analyzing data trends, research, or offering new products and services.
To track the number of Authorized Users using certain portions and features of the Portal to make any necessary changes to improve the functionality of the Portal.

4. MHN will maintain reasonable and appropriate safeguards to prevent unauthorized use or disclosure of Authorized Users’ personal information.

Links to Other Websites

Through the Portal, Authorized Users can access other websites or applications owned or controlled by third-parties. MHN is not responsible for the privacy policies or content of those websites. The use and collection of information by these third-parties is governed by their respective privacy statements and is not covered by this Policy. Access and use of such websites, including the content, information or services on those sites, is solely at your own risk. MHN makes no guarantee and disclaims any implied representations or warranties about the accuracy, relevance, timeliness, completeness, or appropriateness of these third-party websites, the information contained in them or the products or services they provide. The use those third-party websites may subject you to separate binding agreements and privacy statements.

Cookies

1. MHN uses "cookies" to manage your online session on MHNConnect. A cookie is an element of data that MHNConnect or its affiliates may send to your web browser to be stored on your computer. Certain cookies exist only during an online session with MHNConnect's web site. These "session cookies" may contain encrypted personal information which the Authorized User provided during the session. Session cookies are used to verify your identity and keep your session “active” after you have logged on as you move from page to page of this web site.

2. Because cookies are an important part of MHNConnect's security, your web browser must accept cookies or you will not be able to access MHNConnect's services online.

3. In addition, MHN routinely analyzes our website logs to continually improve the value of the materials available on MHNConnect. Our website logs do not personally identify individuals, and we make no attempt to link them with the Authorized Users. MHN monitors network traffic to identify unauthorized attempts to upload or change information or otherwise cause damage to the MHNConnect Portal. MHN has implemented measures designed to secure your personal information from accidental loss and from unauthorized access, use, alteration and disclosure. All information you provide to us is stored on our secure servers behind firewalls.

The safety and security of your information also depends on you. Where MHN has given you (or where you have chosen) a password for access to MHNConnect, you are responsible for keeping this password confidential. We ask you not to share your password with anyone.

Indemnification

You agree to defend, indemnify and hold harmless MHN, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s Content, services and products other than as expressly authorized in these Terms of Use or your use of any information obtained from the Website.

Governing Law and Jurisdiction

All matters relating to the Website and these Terms of Use and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of Illinois without giving effect to any choice or conflict of law provision or rule. Any action or proceeding arising out of, or related to, these Terms of Use or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Illinois, located in Chicago, Illinois.

Dispute Resolution

a. The parties will make good faith efforts to first resolve internally any dispute arising from or related to the Website and these Terms of Use before submitting it to arbitration. Neither party may submit the dispute for arbitration under Subsection (b) until thirty (30) days have elapsed from the initiation of such good faith efforts.

b. Arbitration. EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, YOU IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS OF USE. IF A DISPUTE ARISES OUT OF OR RELATES TO PORTAL OR THESE TERMS OF USE AND THE PARTIES FAIL TO SETTLE THE DISPUTE THROUGH NEGOTIATION PURSUANT TO SUBSECTION (A), MHN MAY ELECT, AT ITS SOLE DISCRETION, TO SUBMIT THE DISPUTE FOR BINDING ARBITRATION IN ACCORDANCE WITH THE AMERICAN HEALTH LAWYERS ASSOCIATION ALTERNATIVE DISPUTE RESOLUTION SERVICE RULES OF PROCEDURE FOR ARBITRATION BY A SINGLE ARBITRATOR WITH EXPERIENCE IN HEALTH INFORMATION TECHNOLOGY AND CLINICALLY INTEGRATED NETWORKS. THE ARBITRATOR WILL CONDUCT HEARINGS, IF ANY, BY TELECONFERENCE OR VIDEO CONFERENCE, RATHER THAN BY PERSONAL APPEARANCES, UNLESS THE ARBITRATOR DETERMINES UPON REQUEST BY YOU OR BY US THAT AN IN-PERSON HEARING IS APPROPRIATE. ANY IN-PERSON APPEARANCES WILL BE HELD AT A LOCATION WHICH IS REASONABLY CONVENIENT TO BOTH PARTIES WITH DUE CONSIDERATION OF THEIR ABILITY TO TRAVEL AND OTHER PERTINENT CIRCUMSTANCES. IF THE PARTIES ARE UNABLE TO AGREE ON A LOCATION, SUCH DETERMINATION WILL BE MADE BY THE ARBITRATOR. IF YOU ARE ABLE TO DEMONSTRATE THAT THE COSTS OF ARBITRATION WILL BE PROHIBITIVE AS COMPARED TO THE COSTS OF LITIGATION, MHN WILL PAY AS MUCH OF YOUR FILING AND HEARING FEES IN CONNECTION WITH THE ARBITRATION AS THE ARBITRATOR DEEMS NECESSARY TO PREVENT THE ARBITRATION FROM BEING COST-PROHIBITIVE.

JUDGMENT UPON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT HAVING JURISDICTION IN CHICAGO, ILLINOIS. YOU AGREE THAT ANY ARBITRATION UNDER THIS AGREEMENT WILL TAKE PLACE ON AN INDIVIDUAL BASIS; CLASS ARBITRATIONS AND CLASS ACTIONS ARE NOT PERMITTED AND YOU ARE AGREEING TO GIVE UP THE ABILITY TO PARTICIPATE IN A CLASS ACTION.

THE PARTIES, THEIR REPRESENTATIVES, OTHER PARTICIPANTS, AND THE ARBITRATOR SHALL HOLD THE EXISTENCE, CONTENT, AND RESULTS OF THE DISPUTE RESOLUTION PROCEEDINGS IN CONFIDENCE. THIS PROVISION SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT.

WITH THE EXCEPTION OF ANY OF THE LANGUAGE ABOVE IN THIS DISPUTE RESOLUTION PROVISION RELATING TO THE WAIVER OF CLASS AND REPRESENTATIVE ACTIONS, IF A COURT DECIDES THAT ANY PART OF THIS DISPUTE RESOLUTION PROVISION IS INVALID OR UNENFORCEABLE, THE OTHER PARTS OF THIS DISPUTE RESOLUTION PROVISION SHALL STILL APPLY. IF A COURT DECIDES THAT ANY ASPECT OF THE LANGUAGE ABOVE IN THIS DISPUTE RESOLUTION PROVISION RELATING TO THE WAIVER OF CLASS AND REPRESENTATIVE ACTIONS IS INVALID OR UNENFORCEABLE, THEN THE ENTIRETY OF THIS DISPUTE RESOLUTION PROVISION SHALL BE NULL AND VOID. THE REMAINDER OF THE AGREEMENT WILL CONTINUE TO APPLY AND BE UNAFFECTED BY THIS SEVERABILITY PROVISION.

Waiver and Severability

No waiver by MHN of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of MHN to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

Entire Agreement

These Terms of Use and any separate agreement you may have to use the Website constitute the sole and entire agreement between you and MHN with respect to Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to Website.
